HYPE CLUB TERMS AND CONDITIONS

Definitions

“Hype Club/We, or Us” means Hype Performance & Recovery Club LLC SPC – the company providing fitness classes, recovery suites and related Services, facilities, content and features through our websites (referenced as “Website”) and the company that maintains the website www.hypeclub.com
“Customer or You, Your” means the individual accessing or using our Website, Apps and the Services, or the company, or other legal entity on behalf of which such individual is accessing or using the Services, as applicable.
“Service(s)” means the products and services provided by Hype Club through our Website, mobile applications (e.g., iOS and Android) (together, the “Apps”), and at our brick-and-mortar Hype Club facility at World Trade Center – Abu Dhabi including but not limited to fitness classes, class packages, personal training, memberships, Metabolic analysis (i.e. VO2 Max assessments) gift cards, apparel, equipment, accessories, merchandise, food consumables and other related services or products.
“Conditions” means these terms and conditions that govern the use of the Website, and the purchase and use of Hype Club Services, and the agreement between you and Hype Club that sets forth the legally binding terms and conditions for your use of the Services and Website and/or Apps. If you are enrolling or signing for a minor (under 18) years of age as their guardian, the Conditions equally apply to You as their guardian.

Use of the Website, Apps and Hype Club Services

Please read these terms and Conditions and the Privacy Policy, available on the Website, carefully before accessing or using our Services as they contain important information regarding your legal rights and obligations.
By accessing or using the Services in any manner, including, but not limited to, visiting or browsing the Website, downloading or using the App(s), attending classes at Hype Club, or contributing content or other materials to the Sites or on or via the App(s) (as applicable), you acknowledge that you have read and understood these Conditions and you agree to be bound by them. You are only authorized to use the Services if you agree to abide by all applicable laws and to these Terms and Conditions.
When You use this Website, You agree:
- to use the Website to make legally valid enquiries and orders only;
- not to make any false or fraudulent orders. If an order of this type may reasonably be considered to have been placed, we shall be authorized to cancel it and inform the pertinent authorities.
- to provide us with Your e-mail address, delivery address and/or other contact details truthfully and exactly. You also agree that We may use this information to contact You when necessary (see the Privacy Policy). If You do not provide us with all the information we need, You cannot place Your order.
- You will not install, copy, or use the Website, Apps, Services, software or any music, images, video, text, or other material available through the Website, Apps and Services (“Content”).
You do not agree with all of the Website Conditions and Privacy Policy then You must not use the Website.

Accounts and Account Security

In order to access some Services available on the Websites and Apps, you will have to create an account (“Account”). You may only have one active Account at any given time and may not allow other people to use your Account to access or use our Services.
You may not use another person’s Account.
You are required to accurately maintain and update any information about yourself that you have provided to us.
You agree that you are solely responsible for the activity that occurs on your Account.
You agree to keep your account password secure and confidential, and You agree to notify us immediately of any breach of security or unauthorized use of your Account.
We reserve the right to take any and all actions we deem necessary or reasonable to maintain the security of our Services and your Account, including without limitation, terminating your Account, changing your password or requesting information to authorize transactions on your Account.

Purchase Conditions

Customers ordering through our Website must be a minimum of 18 years of age.
It is Your responsibility to ensure that the details You provide during Your purchase are correct and You will receive confirmation of the items booked.
You should retain a copy of the transaction records and are responsible for maintaining the confidentiality of Your account.
Customers purchasing items on behalf of someone else hereby confirm that You have the authority to bind any business and/or individual on whose behalf You use the Website and You are responsible for informing them of these Conditions before purchase.
Our Websites, Apps and/or Services allow you to purchase Services directly from us. We may make improvements and/or changes to our Services, add new features, or terminate some or all of them at any time without notice. We also:
reserve the right to change the Services advertised or offered for sale, the prices or specifications of such Services, and any promotional offers at any time without any notice or liability to you or any other person;
cannot guarantee that our Services advertised or offered for sale will be available when ordered or thereafter;
reserve the right to limit quantities sold or made available for sale;
do not warrant that information on the Website and/or Apps or provided at Hype Club (including without limitation product descriptions, colors or photographs) is accurate, complete, reliable, current or error-free; and
reserve the right to modify, cancel, terminate or not process orders (including accepted orders) where the price or other material information on our Website and/or Apps is inaccurate, where we have insufficient quantities to fulfill an order or for any other reason in our sole discretion. If we do not process an order for such reason, we will either not charge you or will apply credit to the payment type used in the order.

Payment Options

We accept Visa or MasterCard debit and credit cards or cleared bank transfers will also be accepted for payment.
We also engage with the 3rd party instalment payment service providers, such as Tabby, who will have their own terms and conditions for engagement with their services separate to Hype Club.
We may use third-party payment processors, including but not limited to Mindbody, to process your payment information, including your payment card data. Be aware that you may be subject to the third-party processor’s terms and your information may be subject to their privacy practices.

Promo Codes and Discounts

We may offer promo codes, discounts, coupon codes, and/or other offers that provide a benefit to You when entered upon checkout. These cannot be applied to prior or completed transactions, they must be provided at the time of purchase.
Promo codes and discounts cannot be combined with other offers.
Only consumers can use promo codes, they cannot be used by resellers, wholesalers, or the like.
A promo code, discount or other offer may be discontinued or voided by Hype Club at any time.
You may have no right to discounts, promos, coupons, or offers that are expired or discontinued even if they remain visible on the Sites.

Refusal or Inability to Process an Order

We reserve the right to remove any Service from the Website at any time and to remove or modify any material, facility or Content of the Service.
Although we will always do everything possible to process all orders, there may be exceptional circumstances that force us to refuse to process an order after having sent the confirmation, and we reserve the right to do so at any time; in such case, we will reimburse any amount that You may have paid.
Other than reimbursing any amount that You may have paid, where applicable, we shall not be liable to You or to any third party for removing any Service from the Website or for removing or modifying any material, facility, or Content from the Website or not processing an order once we have sent the confirmation.

Refund Policy

Classes and membership packages are non-refundable.
We do not offer refunds on purchases of our classes and membership packages, beyond Your statutory rights.

Changes to Your Order

Please ensure that You double-check all order details before submitting them to us and making payment.
Any changes to Your order after Service has started or completed may be subject to additional charges.

Membership Rules

All memberships require a 3-month minimum commitment
Membership prices never decrease although there may be periodic promotions (for example referrals or loyalty programmes)
Annual performance assessment included in all membership tiers

Freeze or Pause Membership

All memberships, including Founding Standard, require a minimum 30 days active membership before a freeze can be requested.
You may freeze your membership up to 60 days per calendar year (1 × 60-day or 2 × 30-day)
There will be a AED 50 processing fee per frozen month
You must request any freeze to your membership 7 days before the next billing date – there are no retroactive freezes.
Freezing is not the same as cancelling a membership. If for some reason you decide to cancel your membership whilst you are on a membership freeze, you will need to be removed from the freeze and then follow the membership cancellation policy and complete an additional 30 days notice.
Price protection preserved during freeze.

Membership Cancellation

Memberships (other than annual memberships) operate on rolling 3 month term, billed monthly.
Each term renews automatically for a further 3 month term unless cancelled in accordance with this section. A renewal reminder will be sent.
You may give notice to cancel at any time. Cancellation does not take effect immediately: You remain liable for the remainder of the current 3 month term, and monthly billing will continue on its normal schedule until the end of that term. The membership will then close and will not renew into a further term.
Memberships cannot be cancelled part-way through a term with immediate effect, and no refund or proration is given for the remainder of a term once a term has begun.
Cancellation of an annual membership does not entitle You to a refund of any portion of the annual fee; access continues until the end of the paid annual term.
Memberships require a minimum of 30 days advance notice to cancel.
Genuine medical or emergency circumstances will be considered on a case-by-case basis at Hype’s discretion.

Cancellation & No-Show Policy for Classes, Recovery Sessions, and Personal Training

YOU MUST CANCEL A CLASS 9 HOURS IN ADVANCE. This includes switching time slots. You may cancel classes through our online system or by calling Hype Club directly. Below are the associated fees with cancelling a class:

Group Training Classes

Cancellation window: 9 hours

Members

Late cancel (<9h from class start): AED 25 fee (No fee if reschedule or emergency)
No-show: AED 75 fee (No fee if emergency)

Pack Users

Late cancel (<9h): Class credit forfeited unless rescheduled
No-show: Class credit forfeited

Personal Training

Cancellation window: 9 hours
Late cancel (<9h) or no-show: Session forfeited, no exceptions

Recovery Suite Sessions

Cancellation window: 9 hours
Late cancel (<9h): Recovery session forfeited
No-show: Recovery session forfeited + AED 100 fee (for members)

Membership, Pack Sharing & Transferability

Memberships are non-transferable.
Class packs are non-transferable.
There is no sharing purchased Services between friends or family.

Upgrades, Downgrades & Price Protection

Membership tier upgrades are allowed at any time.
Membership tier downgrades are only effective at the time of Your membership renewal.
Membership cancellation means that You will lose any price protection.
Freezing your membership is not the same as cancellation – You must inform us that you wish to cancel and provide 30 days’ notice of that request.

General Policies, Rules and Regulations Governing Our Classes

Non-Recording of Studio/Online Classes Agreement

You acknowledge and agree that any type of recording or transmission (video, audio, still photography, streaming, social media posting, etc.) of any Hype Club classes or activities, whether in person or online, is strictly prohibited without the prior written consent of Hype Club management. Hype Club instructors are not authorized to provide consent.

You are, however, permitted to record and post lawful, non-offensive content related to your participation in a Hype Club online or studio class before and/or after a class with the consent of each participant who is identified in your content.

Any violation of this non-recording agreement is grounds for exclusion from participation in any Hype Club Services. You further agree to indemnify, defend, and hold harmless Hype Club, its officers, directors, employees, agents, and instructors, from and against any claims, lawsuits or other actions, and all resulting loss, damage or cost of any kind (including legal fees), resulting from your violation of this non-recording agreement.

Prohibited Behaviour

We want our classes and all other Services to be safe and enjoyable environments for all of our customers. With this in mind, we have established certain behaviour that will not be tolerated while utilizing our Services (“Prohibited Behaviour”). While using or taking part in our Services, you agree that you shall not:

Breach any UAE laws, regulations, rules when accessing the Services of Hype Club;
Wear inappropriate clothing that is unnecessarily revealing, intimidating or that contains messages or images that a reasonable person may find objectionable;
Exhibit nudity, indecent exposure or exhibitionist behaviour of any type;
Play music that can be heard by others taking part in our Services;
Wear clothing that is inappropriate or unsafe for our workouts, such as open-toed shoes etc;
Allow any indecent or objectionable pictures, movies, words, or any other content be viewable or audible on your stream;
Interfere with other users’ enjoyment or participation in our Services;
Interrupt or interfere with our instructors or staff members;
Use our equipment in any manner for which they were not designed or that is not the proper use for the equipment;
Take part in our Services while under the influence of any intoxicant or medication that may affect your cognitive abilities;
Use your phone or other electronic device other than for the explicit purpose of streaming or taking part in our Services;
Violate any rule or regulation posted in Hype Club, on our equipment or given to you by an instructor or staff member, including but not limited to always bringing the treadmill to a complete stop before jumping off; not putting anything on the treadmills (i.e. weights or equipment); notifying the instructor prior to class start time if you are recovering from injury or illness or have known sensitivities.
The above list is non-exhaustive, and we, and our instructors and staff members, reserve the right, in our sole discretion, acting reasonably, to determine what constitutes Prohibited Behaviour. Any breach of any part of this clause may be grounds for exclusion from participation in any Hype Club activities, and/or the termination of any Services and/or the permanent ban of using any Services in the future.

Recovery Suites Usage Guidelines

Customers must follow all safety guidelines issued by Hype Club.

Sauna

Temperature is approximately 70-90°C.
Limit use to 10-20 minute intervals.
Exit immediately if you feel dizzy, nauseous, faint, or sleepy. Be aware of your limitations.

Cold Plunge

Temperature is approximately 3-10°C.
Limit use to 3–5 minute intervals.
You may experience increased heart rate, blood pressure changes, dizziness, or hyperventilation. Be aware of your limitations.

Compression Boots

These devices involve active mechanical pressure, using them may carry inherent physical and medical risks.
Sessions should be between 15 to 30 minutes with the pressure set to a comfortable level that doesn’t result in pain or numbness.

Do not use the Recovery Suites Services if you have any of the following conditions

The following conditions increase your risk — do not use our facilities if any apply to you:
Pregnancy – Diabetes – Epilepsy or seizure disorders – Heart disease – Circulatory problems – High or low blood pressure – blood clots – Infectious skin conditions, sores or wounds – Conditions preventing perspiration – Use of antihistamines, anticoagulants, vasoconstrictors, vasodilators, stimulants, hypnotics, tranquillisers, or any medication that makes facility use unsafe – Eaten a heavy meal within 90 minutes – Migraines – Any condition that makes you uncertain about the safety of using the facilities.
If you choose to use our facilities and/or Services with any of the above conditions, you do so entirely at your own risk.

Personal Belongings

You agree that we are in no way responsible for the safekeeping of your personal belongings while you are present in Hype Club and that You assume all risk of loss for any of your personal belongings.

Acknowledged Risks & Health & Safety

By agreeing to these Terms, enrolling online, and/or attending any classes, undertaking metabolic assessments (i.e. VO2 max assessments), events, activities, and any other Hype Club Services, whether online or in Hype Club’s facility, and/or by using the Services, you hereby acknowledge and agree:

All participants may be required to complete a health screening questionnaire prior to assessment testing
there are certain inherent risks and dangers in the strenuous nature of the Services provided by Hype Club;
you have voluntarily chosen to participate in an intense physical exercise programme;
you acknowledge and understand the scope, nature, and extent of the risks involved in the Services provided by Hype Club and You understand that these risks include, but are not limited to, personal injury, damage to property, and/or death.
you understand that Hype Club strongly recommends that you consult with a licensed physician prior to commencing any fitness classes or use of the Recovery Suites;
you are fully informed of the strenuous nature of undertaking an exercise program such as those provided by Hype Club and the possibility of adverse physiological occurrences including, but not limited to: abnormal blood pressure, fainting, heart attack or death;
VO₂ Max Assessment results are provided for informational, educational, and fitness-planning purposes only
no physician or general practitioner has ever informed you that you have a heart condition and/or that you should not partake in the type of physical activities inherent in our classes;
you have no ailment or injury that could be aggravated or made worse by taking part in our Services;
you do not know of any reason why you should not, or that it would be harmful to your health to, take part in our classes or Services; and
if you are pregnant, you agree that You will inform your instructor and You have consulted a physician or general practitioner that has approved your use of the relevant Services.

By using the Services, you acknowledge the following risks (without limitation) and You voluntarily, freely and expressly choose to incur all risks associated with the services, understanding that those risks may include personal injury, damage to property, and/or death. Slippery wet surfaces; Extreme heat and cold; Increased and decreased internal body temperature; Contact with equipment; Collisions with other persons or objects; Airborne illness; Natural or man-made hazards; other foreseeable and unforeseeable risks.

YOU AGREE THAT YOU SHALL ASSUME ALL RISK FOR YOUR HEALTH AND WELL-BEING, AND FULLY RELEASE AND HOLD HARMLESS FOR ANY RESPONSIBILITY, COST OR DAMAGES HYPE CLUB AND ITS ENTITIES, ITS INSTRUCTORS, MEMBERS AND EMPLOYEES FOR ANY INJURY, HARM OR LOSS YOU MAY SUFFER, INCLUDING DEATH, AS A RESULT OF PARTICIPATION IN ANY ACTIVITIES OR SERVICES.

Liability and Limitation of Liability

Under no circumstances and under no legal or equitable theory, whether in tort, contract, strict liability or otherwise, shall Hype Club or any of its affiliates, employees, instructors, directors, officers, agents, vendors or suppliers be liable to You or to any other person for any indirect, special, incidental or consequential losses or damages of any nature, including, without limitation, damages for lost profits or contracts, loss of goodwill, loss of data, loss of management time or work stoppage, business interruption, accuracy of results, or computer failure or malfunction, even if an authorised representative of Hype Club has been advised of or should have known of the possibility of such damages, arising out of or in connection with (i) the use of or inability to use the Hype Club’s Website, Apps or Services; (ii) Your use of or reliance on the Website, any information, hyperlinks or content contained therein, Apps, or Services included on or otherwise made available to You through the Website; (iii) Your provision of information, personal or otherwise, to Hype Club; (iv) the provision of Services by Hype Club; or (v) acts or negligence on the part of Hype Club; or (vi) any third party advertisement on the Website.
In no event will Hype Club be liable for any damages in excess of the amount paid by You towards the price of the Service in respect to which the claim arose. You hereby release us from any and all obligations, liabilities and claims in excess of this limitation.
Hype Club is not liable for any injuries, resulting health conditions and/or medical emergencies which You may sustain from the use (or misuse) of our Services.
Notwithstanding the above, our liability shall not be waived in any case in which it is illegal to exclude our liability.

Indemnity

By using the Website, You agree, to the fullest extent permitted by law, to indemnify and hold Hype Club, its directors, officers, employees, affiliates, agents, contractors, and licensors harmless with respect to any claims arising out of Your breach of these Conditions, Your use of the Website or any of the goods and services, Your non-compliance with applicable laws or regulations in the jurisdiction in which You are accessing the Website or the goods and services, or any action taken by Hype Club as part of its investigation of a suspected violation of these Conditions or as a result of its finding or decision that a violation of these Conditions has occurred.
You agree to defend, indemnify and hold harmless Hype Club, its affiliates and agents from and against any and all claims, damages, costs and expenses, including legal fees, arising from or related to Your use of the Website or any breach by You of these Conditions.

Force Majeure

Hype Club shall be not held liable for any delay or failure in performance of any Services or any part of these Conditions from any cause beyond our control and without our fault or negligence, such as acts of God, acts of civil or military authority, royal decree, current laws and regulations and changes thereto, embargoes, pandemic or epidemics, war, terrorist acts, riots, insurrections, fires, explosions, earthquakes, nuclear accidents, floods, strikes, power blackouts, volcanic action, political unrest, other major environmental disturbances, unusually severe weather conditions, acts of hackers and other illegal activities of third parties, inability to secure Services or services of other persons or transportation facilities, or acts or omissions of transportation or telecommunications common carriers or acts, omissions, overloading or slowdowns over the Internet or any third party Internet service providers.

Intellectual Property

All content, trademarks, logos, Service designs, and intellectual property displayed on the Website, App or in the facilities at Hype Club are the exclusive property of Hype Club, or their respective owners.
Hype Club is the owner of all intellectual property rights relating to any images used by it. You may not, under any circumstances, reproduce, modify, transmit, publish, adapt, on any medium whatsoever, by any means whatsoever, or exploit in any way, all or part of the Hype Club website or any of its social media content without the prior written permission of Hype Club.
You recognize and agree that all copyrights, registered trademarks and other intellectual and industrial property rights to the materials or contents provided as part of the website belong at all times to the Hype Club group or to a third party who has authorized the use of said content or material to the Hype Club group.

Governing Law and Legal Effect

The parties acknowledge that this agreement shall be governed by laws of the Emirate of Abu Dhabi and the Federal Laws of the UAE as interpreted in the Emirate of Abu Dhabi.
Any purchase, dispute or claim arising out of or in connection with this Website and/or App shall be governed and construed in accordance with the laws of UAE as interpreted in the Emirate of Abu Dhabi.
You acknowledge and agree that no joint venture, partnership, employment, or agency relationship exists between You and Hype Club as a result of Your use of the Website.
If any part of these Conditions is declared illegal or becomes unenforceable, the remaining terms will not be affected and will continue to be in force.
You may not transfer the rights and obligations under these Conditions.
Hype Club may transfer, subcontract or assign our rights and obligations at any time.
These Conditions may be modified. It is Your responsibility to read them periodically, as the current Conditions at the time of purchase of our Services or use of the Website shall be those that apply.
